一、外商独资企业 \所需材料清单
 
1． 母公司名称、地址、电话及公司概况等；
Name, address, telephone No., background of the investor;
2． 对拟申办公司名称及备用名的确认书；
Confirmation of name and standby names for the company to be set up;
3． 合作(资)合同(意向书);
Letter of intend or contract for joint venture or cooperative venture;
4． 投资目的；
Purpose for investment;
5． 投资外方的合法开业证明及当地政府的证明书复印件，中方投资者提供发照机关确认的企业法人营业执照复印件；
Xerox copy of legal license of both foreign investor and Chinese investor;
6． 外方资信证明正本二份；
Original of credit worthiness of the foreign investor (Bank issues);
7． 注册地址、开业地的房屋租赁合同、产权证明及租赁证或土地批租合同；
Registered address, leasing contract, certificate of real estate, and certificate for leasing;
8． 经营范围、期限；
Business scope and term;
9． 总投资及注册资金、资本构成，投资比例(合资需要)；
Total investment and registered capital, proportion of investment;
10． 经济估算；
Economic estimation;
11． 公司机构及用工人数,
Company operational structure and Number of employee;
12． 市场分析与经济效益分析;
Market and economic analysis;
以上为编写可行性研究报告及开业登记需要
This is required for feasibility study and business license
 13． 董事长、副董事长(若有)、 董事、总经理、副总经理(若有)身份证复印件、及委派书正本二份，董事长、总经理、董事的简历(学历、工作经历-年份上连贯)、董事长照片二张；
Identifications (two Xerox copies) and attorney (two Original) of directors, general or deputy general manager; resume of chairman, general manager and directors, and two photos of chairman of the board; 如设立生产性企业还需提供：
If setting up a manufacturing company, the following are required:
 14． 规划用地许可，环境评估报告，
Permission for land use, environment evaluation report
15． 生产产品名称、生产规模、设备清单、工艺路线及流程
Products, production scale，detailed list of equipment， and process scheme
16． 环保、劳保、消防等措施
Environmental protection measures
17． 对公用系统的要求，供电、供水部门承诺
Requirement for utilities，commitment from power and water supply agent
 
二、注册外商合资公司\所需材料清单
 
1、 法定代表人签署的《外商投资企业登记申请书》（原件）；
2、 企业名称登记核准通知书（原件）；
3、 审批部门关于合同、章程的批复（复印件）；
4、 批准证书副本（一）（原件）；
5、 合同、章程（原件）；
6、 国有企业若以实物投资，必须提供国有资产管理部门的确认文件（原件）；
7、 外方投资者的银行资信证明；
8、 董事会成员任职文件（原件）；
9、 董事签字及总经理登记备案表；
10、董事身份证明（复印件）；
11、住所的使用证明：房屋产权证或土地使用证，若是租赁还需提供租赁期限至少一 年的租赁协议（原件或加盖企业公章的复印件）。
